Non Disclosure Agreement
Mutual NDA governing the confidentiality of all materials accessed through the Prime Radiant platform.

This Non Disclosure Agreement ("Agreement") is entered into between Planck Power Corporation ("Disclosing Party") and the undersigned recipient ("Receiving Party").
1. CONFIDENTIAL INFORMATION. "Confidential Information" means all non public information disclosed by the Disclosing Party to the Receiving Party through the Prime Radiant platform, including but not limited to: technical data, trade secrets, business plans, financial projections, manufacturing processes, cell chemistry specifications, battery management system designs, raw material sourcing strategies, and corporate structure information.
2. OBLIGATIONS. The Receiving Party agrees to: (a) hold all Confidential Information in strict confidence; (b) not disclose Confidential Information to any third party without prior written consent; (c) use Confidential Information solely for the purpose of evaluating a potential investment in Planck Power Corporation; (d) protect Confidential Information using at least the same degree of care used to protect its own confidential information.
3. TERM. This Agreement shall remain in effect for a period of three (3) years from the date of acceptance.
4. RETURN OF MATERIALS. Upon request, the Receiving Party shall promptly return or destroy all Confidential Information and any copies thereof.
